Vortex manages the employment or contracting relationship with the resource through appropriate India-side structures. The client engages Vortex through a commercial services agreement, and Vortex handles the resource-side arrangement.

Who handles payroll?

Vortex manages payroll administration for engaged resources, including compensation disbursement, documentation, and statutory deductions as applicable under relevant Indian regulations.

Who handles India-side compliance?

Vortex coordinates India-side compliance requirements through appropriate legal structures and qualified partners. This includes relevant statutory registrations, filings, and employment-related compliance as applicable to the engagement structure.

Who owns the intellectual property?

IP ownership is governed by the client services agreement. Typically, work product created during the engagement is assigned to the client, subject to the specific terms agreed upon. Vortex ensures that resource agreements include appropriate IP assignment and confidentiality provisions.

How does confidentiality work?

Confidentiality is addressed at multiple levels: the client-Vortex services agreement includes confidentiality provisions, and Vortex ensures that resource-level agreements contain appropriate confidentiality and non-disclosure terms.

How are contracts structured?

Engagements are structured through a commercial services agreement between the client and Vortex, with defined scope, duration, pricing, and terms. Vortex separately manages the relationship with the engaged resource. Contract terms vary by engagement model (dedicated, team extension, project-based, or managed team).

What happens if the resource leaves?

Vortex maintains a talent pipeline and will work to identify a suitable replacement as quickly as possible. Typical replacement timelines vary by role complexity but generally range from 1-3 weeks. Transition support and knowledge transfer processes are part of the standard engagement framework.

How quickly can a replacement be found?

Replacement timelines depend on role specificity and availability. For common roles, Vortex can typically present replacement candidates within 1-2 weeks. For highly specialized roles, the timeline may extend to 2-4 weeks. Vortex proactively maintains relationships with qualified professionals to minimize gaps.

How does the client communicate with the resource?

The client communicates directly with the engaged resource using their preferred tools and workflows (Slack, Microsoft Teams, email, video conferencing, project management tools, etc.). Vortex does not act as an intermediary in day-to-day work communication.

How does billing work?

Billing is typically monthly, based on the agreed engagement terms. Vortex provides clear invoicing with transparent cost breakdowns. Payment terms and methods are defined in the services agreement.

What happens when the client wants to scale?

Clients can request additional resources according to the terms of their agreement. Vortex manages the sourcing, evaluation, and onboarding process for new team members. Scaling timelines depend on role requirements but are typically faster than initial engagement setup.

What happens when the client wants to terminate an engagement?

Engagement termination is governed by the notice period and terms defined in the services agreement. Vortex manages the offboarding process, knowledge transfer, and any applicable transition activities. Typical notice periods range from 15-30 days depending on the engagement model.
